Articles of Incorporation

ARTICLE I

The name of this corporation is the PIEDMONT PINES NEIGHBORHOOD ASSOCIATION (the “Corporation”).

ARTICLE II

This Corporation is a nonprofit mutual benefit corporation organized under the California Nonprofit Mutual Benefit Corporation Law.  The purpose of the Corporation is to engage in any lawful act or activity, other than credit union business, for which a corporation may be organized under such law.

ARTICLE III

The name and address in the State of California of this Corporation’s initial agent for service of process is: Marjorie Saunders, 9301 Skyline Boulevard, Oakland, California 94611.

ARTICLE IV

No part of the net earnings of this Corporation shall inure to the benefit of any member of private shareholder, as defined for purposes of Section 501(c)(7) of the Internal Revenue Code of 1986.

ARTICLE V

Notwithstanding any of the above statements of purposes and powers, this Corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the specific purposes of this Corporation.

ARTICLE VI

The authorized number and qualifications of members of this Corporation, if any, the different classes of membership, if any, the property, voting and other rights and privileges of each class of membership and the liability of each or all classes to dues or assessments and the method of collection thereof shall be as set forth in the by-laws of this Corporation.
